UBO register: a Dutch BV with owners abroad
Every Dutch BV (private limited company) registers its ultimate beneficial owners (UBOs) with the KVK (the Dutch Chamber of Commerce). For owners who live abroad that takes extra documents. We prepare the report and send it for you.
Your UBO report, prepared and sent
We prepare the report, check the documents the KVK needs from owners abroad, and send everything.
Who is a UBO
A person who holds more than 25% of the shares in a BV is a UBO. If nobody does, the senior managers, such as the directors, are registered as UBOs.
When
At incorporation the civil-law notary usually registers the UBOs. After that, every change must be reported to the KVK within one week.
Owners who live abroad
- An owner living in another EU country: an extract from the population register of that country, no older than two months
- An owner living outside the EU: an extract from the foreign population register, no older than two months, and almost always legalised
- A copy of the passport
- For an owner without a Dutch citizen service number: the tax identification number of the country of residence
Foreign companies with a Dutch branch
A foreign company that only has a branch in the Netherlands reports its UBOs in the register of its own country, not in the Dutch UBO register.
What such a branch arranges for VAT and corporate income tax is set out on Dutch VAT for foreign businesses.
What we do
We prepare the UBO report on form 30, check the documents for owners abroad, and send it to the KVK, signed by your director or by us with your power of attorney: € 95 per report, excl. VAT.
Frequently asked questions
Who is the UBO of our BV?
Everyone who holds more than 25% of the shares. If nobody does, the directors are registered as UBOs.
How quickly must a change be reported?
Within one week after the change.
Our company is foreign and only has a Dutch branch. Do we report in the Dutch register?
No. A foreign company with only a branch in the Netherlands reports its UBOs in the register of its own country.
Is the Dutch UBO register public?
No. Following a ruling of the Court of Justice of the EU, part of the register was closed. The Dutch tax authorities, De Nederlandsche Bank and the AFM see all data, other organisations only with an access level granted by the KVK, and your BV can order an extract of its own UBO data.
Which proof of the interest must go with the UBO report?
For shares, a copy of the shareholders' register, the deed of incorporation or the part of a notarial deed about the shares. If the interest is held through another legal entity, such as a foreign holding company, an organisation chart is added. If one person directly holds 100% as sole shareholder and is registered as such in the Business Register, no proof is needed.
What if someone is no longer a UBO?
You report that with a UBO report as well, within 7 days. Someone else may then have to be registered as UBO, for example the directors if nobody holds more than 25%.
